Wholesale Terms and Conditions

These are the Terms of Trade between Amperna Retail Pty Ltd (ABN 29 633 509 449) (referred to below as AMPERNA®) and any stockist, being any individual, business or company placing an order with AMPERNA® for the wholesale purchase of any product for resale. These Terms of Trade apply to all stockists.

Please carefully read the below information about the legal terms and conditions that apply to you as a stockist. If you don't agree to these terms and conditions please contact us. These Terms of Trade may be modified periodically at our discretion and apply to all stockists.

We require the following information when applying to become a stockist:

  • Contact name
  • Business Trading name
  • Website
  • Telephone & email
  • ABN

 

MINIMUM QUANTITIES

Minimum order quantities apply for wholesale orders. We require a minimum order quantity of 10 units when purchasing wholesale. This can be either 10 of a single product type, or a combination of product types. 

 

FREIGHT

All shipping is Ex-Works and is the responsibility of the stockist. We will make the goods available, suitably packaged and available at our depot, however all other costs are to be incurred by the stockist (including local duties and taxes if you are outside of Australia).

 

RETURNS & CANCELLATIONS

We pride ourselves on ensuring all products sold are of the highest quality. All items are quality checked for faults before they are dispatched. We also offer remedies in accordance with the ACL, including a refund, replacement or exchange for damaged or faulty goods, or goods that do not otherwise meet the consumer guarantees set out in the ACL.

Return of faulty/broken items should occur within 5 days of receiving them. To report a broken item, please email info@amperna.com with the details of the damage and an image, and quote your invoice number.

All orders are final and cannot be cancelled once the order has been confirmed and the final invoice has been generated. We do not accept return of unsold goods, change of mind or preference.

 

EXCLUSIVITY

Please note as an AMPERNA® stockist you do not automatically receive exclusivity in your area and without a written agreement we cannot guarantee exclusivity. If you would like to stock AMPERNA® exclusively please read the below terms and contact us at info@amperna.com to receive an application form. Exclusivity will only be granted for a maximum of 12 months, but you are welcome to apply again at the end of this period. If you are unable to reach the minimum spend we may cancel this agreement with 7 business days notice.

You are responsible for:

  • Contacting AMPERNA® via info@amperna.com to receive an exclusivity form and submit within 7 working days.
  • Ensuring that all store locations you wish to have exclusivity for are included on your application. If you move location you must inform us in writing at info@amperna.com. Please note that moving to a new area may impact your arrangement with AMPERNA®.
  • Informing us via email at info@amperna.com of any changes to business structure, management or ownership that will affect our trading arrangement.
  • Spending a minimum of $5,000 AUD (inc GST) across our collection per quarter. 
  • Tracking spending and contacting us regarding any concerns about meeting the minimum spend.
  • Placing orders within the given deadlines as notified via email and other communications by AMPERNA®. 

Note, if you are a new stockist and wish to apply for exclusivity with your first order a minimum spend of $5,000 (inc. GST) applies to that order. We do not provide exclusivity for online retail stores.

AMPERNA® is responsible for:

  • Supplying our products to you exclusively in your area as specified on the written agreement.
  • Providing specialised support, communications and materials relevant to AMPERNA®.
  • Referring traffic to your store and promoting your status as an exclusive stockist in your suburb.

 

ORDER DISPATCH

We make every effort to ship your order out as soon as possible. Please allow 2-3 business days for processing.

 

PRICES

Prices shown on order forms are exclusive of GST, prices online are inclusive of GST. We reserve the right to alter our pricing at any time, unless already invoiced. The RRP for each product is listed on our main website (amperna.com) and on our price lists. Stockists are free to set your own pricing as you see fit, but we ask that the products do not retail under the set RRP, unless they are clearly marked as being on sale. We kindly request that new products are not sold below the RRP.

 

DISTRIBUTION

AMPERNA® products may not be distributed through any physical or online marketplaces, including eBay, Etsy or similar. Selling AMPERNA® products on these marketplaces breaches our distribution policy and is not allowed under any circumstance.

 

PAYMENT TERMS

All orders must be paid for prior to dispatch, except if an item is not in stock, then we will contact you to discuss. We accept EFT for all invoice payments. Please state your invoice number as the payment reference when paying via EFT. All first time wholesale order invoices must be paid in full prior to the dispatch of stock. Any future orders must also be paid in full prior to dispatch of stock unless a credit account has been created with AMPERNA®. Please contact us at info@amperna.com to apply for a credit account.

 

OVERDUE ACCOUNTS

All goods supplied remain the property of AMPERNA® until payment is made in full. Any accounts that are outstanding for over 60 days may be passed on to debt collection and any fees involved in recovering the debt is the responsibility of the stockist.

 

PRE-ORDERS

Estimated delivery dates are approximate and for guidance only. We try our best to get your order dispatched to you as soon as possible, but we are sometimes affected by delays outside of our control. Pre-orders are considered final orders and cannot be cancelled once paid.
We reserve the right to cancel the production of any of the products in our range. If this occurs, the payment received for the cancelled product will be refunded in full to the stockist.

 

COPYRIGHT & INTELLECTUAL MATERIAL

Approved stockists are welcome to use any of the images on the AMPERNA® website for the purpose of promoting the product/s. All AMPERNA® product images and product copy are subject to copyright and are the property of AMPERNA®.

Please contact us if you are unsure of image usage and we can direct you to our brand guidelines.

 

PRODUCT MODIFICATION

The AMPERNA® brand was researched and developed over 5 years. We worked with a like-minded chemist to produce our own unique formulas; we then went into a testing phase to make sure we brought the most suitable products to market. AMPERNA® products can not be modified in any way for resale or distribution.

 

LIABILITY 

AMPERNA® cannot be held liable for any losses, costs, damages and expenses (including legal costs) resulting from claims arising out of your breach of these Terms of Trade.

 

AGREEMENT OF TERMS 

By placing an order with AMPERNA® you are agreeing to the above terms and conditions. These terms are subject to change at any time. If the terms are amended they will be effective immediately.
